The Agreement
These terms are between you and OgaBooks, as described at the top of this page. By creating an account or using OgaBooks, you accept them. If you use OgaBooks for a business, you accept them for that business and confirm you are allowed to.
How we handle personal data is set out in our Privacy Policy, which is part of this agreement.
The Service
OgaBooks is bookkeeping software for traders and small businesses: invoices, bills, payments, expenses, stock, contacts and reports. It runs in your browser, works without an internet connection, and syncs your books between your devices and your team when you are online.
OgaBooks is a tool for keeping records. It is not accounting, tax or legal advice. The reports are only as accurate as what is entered, so check important figures, and speak to an accountant for advice about your business.
Your Account
- You must be 18 or older and give accurate details.
- Keep your password private. You are responsible for what happens under your account.
- The owner of a business decides who joins it and what each person can do, and is responsible for the people they add.
- Tell us straight away at support@ogabooks.ng if you think someone has got into your account.
Free Trial, Price and Payment
- Each new business starts with a free trial, currently 60 days. No card is needed to start.
- After the trial, OgaBooks is a paid subscription for each business. The price is shown on our pricing page and on the Billing screen in the app, in naira.
- You pay in advance for 1, 3, 6 or 12 months at a time, by card or bank through Paystack. Paystack’s own terms apply to the payment.
- We do not charge your card automatically. Before your paid time runs out, we remind you by email and in the app, and you choose whether to pay again.
- If we change the price, we tell you at least 30 days before. A new price applies only to payments made after it starts, never to time you have already paid for.
- You receive an invoice and a receipt for every payment, in the app.
When Your Time Runs Out, Cancelling and Refunds
- When a trial or a paid period ends, you get a short grace period, currently 3 days, with everything still working.
- After that, the business is locked: you can still open, read, print and export all of your books, but you cannot add or change records until you pay. We do not delete your books because a subscription has ended.
- Cancelling is simple: stop paying. Nothing renews by itself.
- Because you pay for a period in advance and the app never charges you automatically, payments are not refundable for time you do not use, except where the law gives you a right to a refund.
- If you were charged twice, charged the wrong amount, or paid and did not receive the time you paid for, write to support@ogabooks.ng within 30 days of the payment and we will put it right or refund it in full, back to the card or account you paid from.
Your Data, and Our Role as Your Processor
Your books belong to you. We claim no ownership of anything you enter. You can export your records at any time, including while your business is locked.
Your books may include personal data about your customers, suppliers and staff. For that data, you are the controller and OgaBooks is your processor. As your processor we promise to:
- use it only to provide OgaBooks to you, and only as you instruct through the app;
- keep it confidential, and make sure everyone at OgaBooks who can reach it is bound to confidentiality;
- protect it with appropriate security, as described in our Privacy Policy;
- use only the service providers listed in our Privacy Policy, hold them to the same standards, and tell you before we add a new one;
- tell you without delay if a breach affects it, with what we know, so you can meet your own duties;
- help you answer requests from the people in your books, for example to see or delete their details;
- delete it, or hand it back to you, when you close your account and ask us to.
In turn, you confirm that you have the right to keep the personal data you put into OgaBooks, that you use it lawfully, and that you tell your customers and suppliers how you use their details, as the data protection law that applies to you requires.
Acceptable Use
You agree not to:
- use OgaBooks for anything unlawful, including fraud, money laundering, tax evasion or false records meant to deceive;
- try to get into another business’s data, or test, probe or break our security;
- overload, copy, resell or reverse-engineer the service;
- upload anything harmful, such as malware.
If you break these rules, we may suspend your access. Unless the risk is urgent, we will tell you first and give you a chance to put it right.
Availability, Offline Use and Backups
- We work to keep OgaBooks available, but we cannot promise it will never be interrupted. We may need to pause it for maintenance, and we try to do that at quiet times.
- Because OgaBooks works offline, you can keep recording sales when our servers or your connection are down. Your changes sync when the connection returns.
- Changes made offline exist only on that device until they sync. If a device is lost, or its browser data is cleared, before it has synced, those changes can be lost.
- Our server copy is backed up by our hosting provider. Even so, export your important records regularly and keep your own copy. We cannot be responsible for records that never reached our servers.
- We improve OgaBooks over time. We may change or remove features; if a change takes away something important you pay for, we tell you in advance.
Our Responsibility to You
- We provide OgaBooks with reasonable care and skill.
- We are not responsible for losses we could not reasonably have foreseen, for lost profits or business opportunities, or for decisions you make based on what you entered into OgaBooks.
- Our total responsibility to you for any claim is limited to what you paid us in the 12 months before the claim arose.
- Nothing in these terms limits any right you have that the law does not allow to be limited, including your rights under the Federal Competition and Consumer Protection Act 2018, or our responsibility for fraud or for death or injury caused by our negligence.
Closing Your Account
You can stop using OgaBooks at any time. To close your account and delete your data, write to support@ogabooks.ng; we will remind you to export what you need first, then delete it as our Privacy Policy describes.
We may close an account that seriously or repeatedly breaks these terms, or if the law requires us to. Unless the law or an urgent risk prevents it, we give you notice and time to export your books first.
Disputes and Governing Law
If something goes wrong, write to support@ogabooks.ng first; most problems are fixed quickly that way. These terms are governed by the laws of the Federal Republic of Nigeria, and the courts of Nigeria decide any dispute that we cannot settle between us.
Changes to These Terms
If we change these terms in a way that matters, we tell you by email or in the app at least 30 days before the change takes effect. If you do not agree, you can stop using OgaBooks before then, and the time you have already paid for is not affected by any new price.
